Welcome to Outfound. These Terms of Service ("Terms") govern your use of the Outfound platform, including the website at outfound.ai and the application at app.outfound.ai (collectively, the "Service").

By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Definitions

In these Terms:

  • "Outfound", "we", "us", "our" means the Outfound entity operating the Service.

  • "User", "you", "your" means an individual or legal entity using the Service.

  • "Organization" means a team or company account that may include multiple Users and workspaces.

  • "Credits" means prepaid units that are consumed when you use chargeable features of the Service.

  • "Lead Data" means business contact and company information generated or surfaced through the Service.

  • "Campaign" means email sequences created and sent through the Service.

  • "Customer Content" means any data, text, files, or materials you or your Organization upload to or generate within the Service, including target criteria, prompts, templates, and campaign content.

  • "Third-Party Services" means services, products, and platforms operated by third parties that integrate with or are used by the Service (e.g., authentication, payments, email providers, AI/inference providers).

2. Eligibility

To use the Service, you must:

  • Be at least 18 years old;

  • Have the legal authority to enter into these Terms on behalf of yourself or your Organization;

  • Use the Service for lawful business-to-business (B2B) purposes only;

  • Provide accurate and complete registration information and keep it up to date.

The Service is designed for B2B communications. Consumer marketing and B2C email campaigns are not permitted.

You may not use the Service if:

  • You are located in a country or territory subject to comprehensive trade sanctions or embargoes; or

  • You are listed on any applicable sanctions or restricted parties list.

3. Account Registration and Management

3.1 Account Creation

You must create an account to use the Service. You are responsible for:

  • Maintaining the confidentiality of your login credentials;

  • All activities that occur under your account;

  • Notifying us promptly at support@outfound.ai of any unauthorized access or suspected security breach.

You agree not to share your login credentials with anyone else. If you are using the Service on behalf of an Organization, you represent that you have authority to do so.

3.2 Organizations and Ownership

The Service may allow accounts to be associated with an Organization:

  • An Organization is typically owned and managed by a company or similar legal entity.

  • Organization owners and admins can:

    • Invite and remove team members;

    • Assign and change roles (Owner, Admin, Member, Viewer);

    • Manage shared Credits, campaigns, and workspaces;

    • Access and manage Customer Content created within the Organization.

If you sign up with a business email address or are added to an Organization account, you acknowledge that:

  • The Organization (not the individual User) is generally deemed the owner of the account and related Customer Content;

  • The Organization may control your access to the Service and to data you create in that context.

3.3 Suspension and Termination by Outfound

We may suspend or terminate your account or access to the Service (in whole or in part) if:

  • You violate these Terms or any applicable law;

  • You engage in fraudulent, abusive, or harmful behavior (including spam complaints, high bounce rates, or abusive content);

  • You fail to pay amounts owed when due;

  • Your account remains inactive for more than 12 months; or

  • We reasonably believe your use of the Service poses a risk to Outfound, other users, or third parties.

We will, where reasonable, notify you before suspension or termination. In serious or urgent cases (e.g., security incidents, severe abuse), we may act without prior notice.

3.4 Termination by You

You may stop using the Service at any time and may request account deletion by contacting us at support@outfound.ai or through any self-service options provided in the Service.

Unless otherwise required by law or a separate written agreement:

  • Unused Credits are not refundable and will be forfeited upon account termination;

  • We may retain certain data (e.g., billing records, audit logs) as required or permitted by law.

3.5 Effects of Termination

Upon termination or expiry of your account:

  • Your right to use the Service immediately ceases;

  • We may delete or deactivate your account and associated Customer Content after a reasonable retention period, except where we are legally required to retain it;

  • Sections that by their nature should survive (including Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, Governing Law, and Dispute Resolution) will continue to apply.

4. Service Description

Outfound is an AI-powered B2B lead generation and outreach platform that helps you:

  • Discover leads: Find potential customers based on your target market criteria;

  • Research companies: Gather intelligence about businesses and their needs;

  • Verify contacts: Validate email addresses for deliverability;

  • Personalize outreach: Generate AI-crafted emails and messaging based on company research and your inputs;

  • Manage campaigns: Send and track multi-touch email sequences (where enabled).

We may add, change, or remove features from the Service at any time. Where changes are material, we will provide notice via email or in-app.

4.1 AI and Automation

The Service uses artificial intelligence and automation to generate and suggest content, including but not limited to:

  • Email drafts and subject lines;

  • Lead scoring and prioritization;

  • Summaries, insights, and personalization snippets.

You acknowledge and agree that:

  • AI-generated outputs may be inaccurate, incomplete, or inappropriate and are provided for assistance only;

  • You are solely responsible for reviewing, editing, and approving all content before sending or using it;

  • Outfound does not provide legal, compliance, or regulatory advice through AI-generated outputs.

You remain fully responsible for how you use AI-generated content in your business, including compliance with applicable laws and industry rules.

5. Credits, Subscriptions and Payments

5.1 Credit System

The Service operates on a credit-based model. Credits may be consumed when you:

  • Discover or enrich leads;

  • Run AI personalization or scoring;

  • Verify email addresses;

  • Send emails or campaigns via integrated email providers;

  • Use other chargeable features that may be introduced.

The applicable credit costs for each action are displayed in the Service and may change from time to time. We will not retroactively change the cost of actions you have already performed.

5.2 Purchasing Credits and Subscriptions

You may purchase Credits and, if and when available, subscription plans (such as Starter, Pro, Enterprise) as presented within the Service:

  • Prices are displayed in USD (or as otherwise specified) and may be subject to taxes;

  • Payments are processed by İyzico or other payment providers we designate;

  • By providing a payment method, you authorize us and our payment providers to charge all applicable fees, including any recurring subscription charges if you sign up for a subscription plan.

Unless otherwise stated:

  • Subscription plans renew automatically at the end of each billing period (e.g., monthly or annually);

  • You may cancel auto-renewal via the Service or by contacting us before the next billing date;

  • Canceling auto-renewal stops future charges but does not typically entitle you to a refund for the current period.

  • If you sign up for a subscription plan (when such plans are made available), it may renew automatically at the end of each billing period as described in the plan details. You will be able to cancel any such auto-renewal via the Service or by contacting us before the next billing date.

5.3 Credit Expiration

Unless otherwise stated in an order form or specific promotion:

  • Credits expire 12 months from the date of purchase;

  • Unused Credits are forfeited upon account termination;

  • We may, at our discretion, offer credit extensions or goodwill adjustments.

5.4 Auto Top-Up

If you enable auto top-up:

  • You authorize us (and our payment provider) to automatically charge your selected payment method for additional Credits when your balance falls below a threshold you set;

  • You can disable auto top-up at any time via the Service, but changes may not affect charges already in progress.

5.5 Refunds

Credits (and any future subscription fees, if applicable) are generally non-refundable, except where required by law.

  • Service outages exceeding 24 consecutive hours that are attributable to us;

  • Verified technical errors that prevented you from using Credits for their intended purpose;

  • Duplicate charges caused by a payment processing error.

Any such adjustment will be your sole and exclusive remedy for the applicable issue.

6. Acceptable Use

6.1 Permitted Uses

You may use the Service to:

  • Generate and manage leads for your legitimate B2B business;

  • Send professional business communications and outreach;

  • Research companies and contacts relevant to your offerings;

  • Analyze and optimize your internal sales and marketing processes.

6.2 Prohibited Uses

You agree not to use the Service for any of the following:

Email Abuse

  • Sending spam or unsolicited bulk emails;

  • Sending emails to purchased lists not generated via Outfound or without a proper legal basis;

  • Misrepresenting your identity, sender details, or affiliation;

  • Sending deceptive or misleading content or subject lines;

  • Sending content that is harassing, discriminatory, defamatory, or otherwise unlawful.

Data Abuse

  • Scraping, harvesting, or collecting data from the Service for resale or aggregation;

  • Building or training a competing product or database using data from the Service;

  • Sharing login credentials or API keys with unauthorized users;

  • Accessing or attempting to access data belonging to other users or Organizations.

System Abuse

  • Attempting to bypass Credit limits, authentication, or security measures;

  • Interfering with or disrupting the operation of the Service;

  • Reverse engineering, decompiling, or attempting to extract source code from the Service;

  • Using automated tools, scripts, bots, or crawlers to access the Service, except via our documented API and within permitted usage limits.

Legal Violations

  • Violating any applicable law or regulation;

  • Infringing intellectual property or other rights of any third party;

  • Harassing, threatening, or harming any person;

  • Promoting illegal activities or content.

6.3 Compliance with Email and Data Protection Laws

You are solely responsible for ensuring that your use of the Service complies with all applicable laws and regulations, including but not limited to:

  • CAN-SPAM Act (United States);

  • GDPR and ePrivacy rules (European Union);

  • CASL (Canada);

  • PECR (United Kingdom);

  • Any other applicable email, marketing, or data protection laws.

This includes, where applicable:

  • Having a valid legal basis for contacting each recipient (e.g., consent, legitimate interest);

  • Including accurate sender information in your emails;

  • Providing a clear and effective unsubscribe or opt-out mechanism;

  • Honoring opt-out and unsubscribe requests promptly (and in any case within 10 business days or as required by law);

  • Not using deceptive or misleading subject lines or headers.

You understand and agree that you (and/or your Organization) are the sender and controller of your campaigns and Lead Data from a legal standpoint, not Outfound.

6.4 Enforcement and Deliverability Protection

To protect the reputation and deliverability of our infrastructure and our users' domains, we may:

  • Monitor aggregate metrics such as bounce rates, spam complaints, and abuse reports;

  • Temporarily limit or suspend your ability to send emails or run campaigns if we detect abnormal or abusive patterns;

  • Require you to remediate list quality, consent practices, or campaign content before re-enabling full functionality.

We may take these actions with or without prior notice where necessary to protect the Service or third parties.

7. Intellectual Property

7.1 Our Intellectual Property

The Service, including its software, user interface, design, documentation, underlying databases, and all related intellectual property rights, is owned by Outfound or its licensors.

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes, subject to these Terms. No other rights are granted.

7.2 Your Content

You retain ownership of your Customer Content, including:

  • Your account and Organization information;

  • Target market criteria and pain points you define;

  • Email templates, sequences, and campaign content you create;

  • Files and data you upload to the Service.

By using the Service, you grant Outfound a worldwide, non-exclusive, royalty-free license to host, store, process, transmit, display, and otherwise use your Customer Content solely as necessary to:

  • Provide, maintain, and improve the Service;

  • Comply with law and enforce these Terms;

  • Resolve support issues and security incidents.

7.3 Generated Lead Data and Data Sets

Lead Data generated or surfaced through the Service:

  • Is compiled from publicly available sources and third-party data providers;

  • May be used by you and your Organization for your internal business purposes in accordance with applicable law;

  • May not be resold, sublicensed, or redistributed as a stand-alone data product or service;

  • May also be made available to other Outfound customers (Lead Data is not exclusive to you).

All intellectual property rights in and to the Service's underlying data sets, aggregation, and curation (including our databases and enrichment logic) remain owned by Outfound and its licensors. You receive only a limited license to access and use Lead Data through the Service for your own business use.

7.4 Feedback

If you provide feedback, suggestions, or ideas regarding the Service ("Feedback"), you grant Outfound a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate such Feedback into the Service without any obligation to you.

8. Data and Privacy

8.1 Privacy Policy

Our collection and use of personal data are described in our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you acknowledge that we will process personal data in accordance with that policy.

8.2 Lead Data and Personal Data

You acknowledge that:

  • Lead Data may contain personal data (e.g., work email addresses, names, job titles);

  • Lead Data is sourced from public and third-party records and may contain inaccuracies or outdated information despite our efforts;

  • You are responsible for using Lead Data in compliance with applicable data protection and privacy laws, including any obligations related to transparency, lawful basis, and data subject rights.

If required by law (e.g., under GDPR), we may enter into a separate Data Processing Agreement (DPA) with you, which will govern our roles and responsibilities as processor and controller for certain types of processing.

8.3 Data Security

We implement industry-standard technical and organizational security measures to protect your data. However, no method of transmission or storage is completely secure.

You are responsible for:

  • Keeping your login credentials and API keys secure;

  • Ensuring that any data you export from the Service is stored and handled securely.

9. Service Level, Support and Updates

9.1 Availability

We strive to maintain high availability of the Service (e.g., 99.9% uptime) but do not guarantee uninterrupted or error-free operation.

We may perform scheduled maintenance from time to time and will, where reasonably possible, notify you in advance.

9.2 Support

We provide support via:

  • Email: support@outfound.ai;

  • In-app help or knowledge base (where available).

Response times and support offerings may vary based on your plan, usage level, or any subscription tier we may offer in the future.

9.3 Updates and Changes

We may update, modify, or remove features of the Service at any time. For significant or material changes, we will provide notice via email or in-app notification.

We may also introduce beta, trial, or experimental features:

  • Such features are provided "as is" and may be modified or discontinued at any time;

  • Additional terms may apply and will be presented when you enable or use such features.

10. Disclaimers

10.1 "As Is" Service

THE SERVICE (INCLUDING ALL CONTENT, DATA, AND FEATURES) IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO:

  • MERCHANTABILITY;

  • FITNESS FOR A PARTICULAR PURPOSE;

  • NON-INFRINGEMENT;

  • ACCURACY, COMPLETENESS, OR RELIABILITY OF DATA OR OUTPUTS.

10.2 AI and Data Accuracy

We do not guarantee that:

  • Lead Data or analytics are complete, up to date, or error-free;

  • AI-generated content will be accurate, appropriate, or suitable for your specific use case;

  • Any specific email deliverability, open rates, response rates, or business results will be achieved.

You are solely responsible for verifying outputs and making business decisions based on your own judgment and independent checks.

10.3 Third-Party Services

The Service may integrate with Third-Party Services (e.g., email providers, CRM systems, payment processors, AI providers). We:

  • Do not control Third-Party Services and are not responsible for their availability, performance, or compliance;

  • Are not liable for any damages or losses caused by your use of or reliance on Third-Party Services;

  • May add, change, or remove integrations at any time.

Your use of Third-Party Services may be subject to their separate terms and privacy policies.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

11.1 Exclusion of Certain Damages

OUTFOUND SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Loss of profits or revenue;

  • Loss of data or loss of use;

  • Business interruption;

  • Loss of goodwill or reputational harm;

EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

11.2 Liability Cap

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS SHALL NOT EXCEED THE GREATER OF:

  • THE AMOUNTS YOU PAID TO OUTFOUND FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR

  • [A REASONABLE MINIMUM AMOUNT, E.G. 100 USD] (IF REQUIRED BY LAW).

11.3 Exceptions

The above limitations do not apply to:

  • Our liability for gross negligence or willful misconduct;

  • Any liability that cannot be excluded or limited under applicable law.

12. Indemnification

You agree to indemnify, defend, and hold harmless Outfound and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:

  • Your use of the Service;

  • Your violation of these Terms or any applicable law;

  • Your violation of any third-party rights (including privacy or intellectual property rights);

  • Your email campaigns and their content, including any claims by recipients or third parties;

  • Any misuse of Lead Data or personal data obtained through the Service.

We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with our defense.

13. Dispute Resolution

13.1 Governing Law

These Terms and any dispute or claim arising out of or in connection with them or the Service are governed by the laws of Turkey, without regard to conflict of law principles.

13.2 Informal Resolution

Before initiating any formal legal proceedings, you agree to first contact us at legal@outfound.ai and provide a brief written description of your dispute and contact information. We will attempt in good faith to resolve the dispute informally within 30 days.

13.3 Jurisdiction

If we are unable to resolve the dispute informally, any legal action or proceeding shall be brought exclusively in the courts located in İzmir, Turkey, and you consent to the personal jurisdiction of such courts.

14. Changes to These Terms

We may modify these Terms from time to time. When we make material changes, we will notify you by:

  • Sending an email to your registered email address; and/or

  • Displaying a prominent notice within the Service.

The updated Terms will be effective as of the date stated in the notice. Your continued use of the Service after the effective date constitutes your acceptance of the updated Terms. If you do not agree to the changes, you must stop using the Service.

15. General Provisions

15.1 Entire Agreement

These Terms, together with our Privacy Policy, Cookie Policy, and any applicable Data Processing Agreement or order forms, constitute the entire agreement between you and Outfound regarding the Service and supersede any prior or contemporaneous agreements.

15.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

15.3 Waiver

Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.

15.4 Assignment

You may not assign, transfer, or delegate your rights or obligations under these Terms without our prior written consent. We may assign or transfer our rights and obligations under these Terms to an affiliate or in connection with a merger, acquisition, or sale of assets.

15.5 Force Majeure

We are not liable for any delay or failure to perform resulting from causes beyond our reasonable control, including but not limited to natural disasters, war, terrorism, labor disputes, government actions, internet or telecommunications outages, or other events of force majeure.
